Terms of Service

These Terms of Service ("Terms") govern your access to and use of ServiceClip ("the Service"), operated by ServiceClip ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Description of the Service

ServiceClip is a software-as-a-service (SaaS) platform that enables organizations to upload, import, or live stream video recordings, generate transcripts, extract clips, publish content to platforms such as YouTube and podcast directories, simulcast live streams to platforms such as YouTube and Facebook, and host a media website.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization to use the Service. By accepting these Terms, you represent that you meet these requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you believe your account has been compromised.

4. Acceptable Use

Your Content

You retain ownership of all video recordings, transcripts, clips, and other content you upload or create through the Service ("Your Content"). By uploading content, you grant ServiceClip a limited license to process, store, and transmit Your Content solely for the purpose of providing the Service to you.

Copyright Responsibility

You are solely responsible for ensuring that all content you upload complies with applicable copyright law. This includes, but is not limited to:

  • Music played during services (worship songs, background music, or licensed recordings)
  • Video clips or media incorporated into your services
  • Third-party content of any kind

ServiceClip does not verify the copyright status of uploaded content. You bear full responsibility for obtaining all necessary licenses or permissions for any third-party material included in your recordings before uploading or publishing.

Prohibited Content

You may not use the Service to upload, store, or distribute content that:

  • Infringes any third-party intellectual property rights
  • Contains unlawful, defamatory, hateful, obscene, or pornographic material
  • Violates any applicable local, national, or international law or regulation
  • Contains malware, spyware, or other malicious code
  • Impersonates another person or organization

5. Third-Party Platforms

The Service integrates with third-party platforms including YouTube (Google LLC) and Facebook (Meta Platforms, Inc.). When you connect a third-party account or destination to ServiceClip, you are also bound by that platform's terms of service. We are not responsible for any actions taken by third-party platforms with respect to your content. Payments are handled by a third-party payment processor under its own terms.

6. Service Availability

We will make reasonable efforts to keep the Service available and operational. However, we do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, unplanned outages, or factors outside our control. We will not be liable for any losses caused by Service interruptions.

7. Plans, Billing, and Renewal

Plans

Each plan includes the features and monthly allowances shown on our pricing page when you subscribe. Allowances reset each month on your billing date and do not carry over. Yearly plans receive the same monthly allowances.

Billing and Renewal

Subscriptions are billed in advance, monthly or yearly, and renew automatically until you cancel. You authorize us, through our payment processor, to charge your payment method at each renewal. Prices exclude any applicable taxes, which are added where required.

Founding and Agreed Rates

A founding rate, or a rate we agree with you individually, stays in place while your subscription remains active on the same plan. It ends if you cancel or if your account is paused for non-payment. If you change plans, the new plan's current founding or standard price applies.

Price Changes

We will give you at least 30 days' notice of a price change. It applies from your first renewal after the notice period.

Additional Capacity

Additional capacity is added only with your agreement, and we never charge automatic overages. Recording-hour and live stream viewer-hour packs are one-time purchases that expire 12 months after purchase and are used after your plan's monthly allowance. Additional storage is a recurring monthly charge.

Money-Back Guarantee and Refunds

If you cancel within 30 days of your first paid subscription, we will refund that first payment in full. After that, monthly and yearly payments are non-refundable, and any refund is at our discretion. A cancelled plan stays active until the end of the period you have paid for. Capacity packs are non-refundable once any of their capacity has been used.

Failed Payments

If a payment fails, we will retry it and let you know. If it remains unpaid 14 days later, we may pause your account until payment is made.

8. Termination

By You

You may cancel your subscription at any time from Plan & billing in the Service. A monthly plan stays active until the close of your current billing period. A yearly plan stays active until the end of the year you have paid for. Refunds follow the Money-Back Guarantee and Refunds section above.

By Us

We reserve the right to suspend or terminate your account at our discretion, with or without notice, if:

  • You violate these Terms or our Acceptable Use policy
  • We believe your account is being used for fraudulent, illegal, or harmful activity
  • We discontinue the Service (with reasonable advance notice)

When your subscription ends or your account is terminated, your access to Your Content will cease and we will delete it within 90 days, except where retention is required by law. We never delete or change content on your connected YouTube channel.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated transcripts or clip suggestions.

AI-generated transcripts and clip suggestions may contain errors. You are responsible for reviewing and approving all content before publishing.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ServiceClip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising out of or related to your use of the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ServiceClip and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising out of Your Content, your use of the Service, or your violation of these Terms.

12. Changes to These Terms

We may update these Terms at any time. Changes take effect when we post them here, and the effective date above shows the current version. If a change materially reduces your rights or increases what you pay, it applies to your existing subscription 14 days after we tell you about it by email or within the Service. Continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which ServiceClip operates, without regard to conflict of law principles.
